General Terms of Use for Digital Services

1. Scope / right to modification

The following General Terms of Use (“Terms of Use”) govern the use of the content and functions of the digital services (such as online services or apps) operated and made available for use by AEB SE and its affiliated companies as defined by Sections 15 ff. of the German Stock Corporation Act (AktG) (“AEB”). These Terms of Use also apply to the content and functions that require registration.

Completing the registration and using the digital services constitutes an agreement on their use and the content and functions contained therein. This agreement allows users to use the content and functions within the scope of these Terms of Use for their own purposes free of charge. The use of appropriately identifiable content or functions may incur a charge and be subject to special conditions, which are in addition to and take precedence over these Terms of Use.

AEB reserves the right to modify these Terms of Use for the free use of the digital services at any time at its discretion and to make consent to such changes a condition for further use. This is not limited to offerings that require registration.

AEB reserves the right to modify, expand, terminate, or remove contents and functions of the digital services in whole or in part at any time at its discretion and/or to discontinue the operation of digital services altogether at any time. This is limited to free offerings. Paid offerings are subject to the respective contract terms and periods of notice.

2. Registration

Users register for the digital services by setting up a user account. By logging in for the first time, the user consents to these Terms of Use. Registration is limited to natural persons with full legal capacity. Users are prohibited from transferring their user account, temporarily sharing their login data, or sharing a user account. Users must take care to keep their login data confidential.

Users should be able to interact openly and individually within the scope of these Terms of Use and the functions of the digital services by communicating and sharing information. This requires that users provide their real name (first and last name) and email address. This data is transmitted either voluntarily with the consent of the registering person pursuant to Art. 6 (1) a) GDPR or within the performance of a contract pursuant to Art. 6 (1) b) GDPR. This statement of consent can be revoked at any time for the future by emailing nfdbcm.

Registration and use of the digital services is without charge for the user. Registration is not an entitlement. AEB may deny a request for registration without citing reasons. The user must, upon request, send AEB a copy of a valid official identification document to confirm his or her data or verify this information in another appropriate manner.

The user agrees to provide current, accurate, and complete information at all times, especially during the registration process. The user must carefully protect the security of the login data selected during registration (email, password), must not share this data with third parties, and must notify AEB without delay if a third party may have gained access to the login data without authorization.

3. Availability

AEB shall not be liable for the permanent availability of the digital services, because the technical design alone, in particular the dependence of the digital services on internet access, may result in interruptions of availability and periods of non-availability (due to disruptions of public communication networks, power outages, etc.). The digital services are also unavailable in whole or in part during normal maintenance times (such as when new content and software are being installed); AEB shall endeavor to schedule such maintenance at times of low usage wherever possible.

4. Content

Content and/or functions provided by AEB free of charge are for the users’ own non-commercial purposes. Any commercial use requires the express consent of AEB. Under no circumstances may copyright notices or similar identifiers or references be removed. Users may only edit or modify content they have created themselves. Any commercial or public use of content or functions of the digital services, in particular any embedded presentation in third-party online offerings (“framing”) using links or other means, requires the express written consent of AEB.

AEB assumes no responsibility for the content posted by users or third parties in or using the digital services, in particular its completeness or accuracy, and does not adopt such posted content as its own. AEB is not bound by any statements, information, or other content posted to the digital services (in forums, blogs, etc.) by users or third parties and not by AEB.

Users who post comments, images, texts, videos, and other content grant AEB permission to make this content publicly and permanently available worldwide and to reproduce it in accordance with the purpose of the digital services.

5. Obligations of user

Content in the digital services (posted by AEB or by users or third parties) – especially images, videos, and texts – may be protected by copyright, trademark, confidentiality, or other rights. The user must always comply with any restrictions in interacting with such content.

Users are expressly prohibited from

  • placing data in their profile or in the digital services that contain viruses, trojans, or similar malware, or making technical manipulations that adversely affect the content, function, or accessibility of the digital services; or
  • posting content that infringes on third-party rights (in particular third-party copyrights, trademarks, or other protected rights); or
  • using the digital services for non-contractual purposes, in particular to send spam, chain emails, or advertising; or
  • sending messages that are unlawful or immoral; or
  • using the content and functions of the digital services for purposes that are racist, discriminatory, pornographic, harmful to minors, politically extremist, or otherwise illegal or that violate official regulations or requirements, or creating and/or storing such data in the digital services.
6. Unauthorized use, blocking

AEB does not prescreen content. Users may email AEB at any time at nfdbcm if they identify any unauthorized use of the content or digital services by other users or third parties, or any other violation of these Terms of Use.

AEB may partially or entirely, temporarily or permanently block a user’s access to the digital services, including without notice, in the event of their unauthorized use. This might include temporarily revoking write access rights or deleting posted content.

AEB reserves the right to block a user if it has been demonstrated to AEB that the user has infringed on rights. AEB will ask the user to respond to any such suspicion within a reasonable period. AEB is not obligated to investigate the extent to which the suspicions of an infringement are substantiated. It is the obligation of the user to defend him- or herself legally – for example, by taking appropriate action against the third party.

AEB will consider the interests of the user in deciding what action to take, paying special attention to the nature and scope of any illicit use and any culpability on the part of the user.

7. Termination of use

Users may terminate the free use of the digital services at any time without notice by emailing info.de@aeb.com. AEB shall give notice of regular termination with a period of one week before the end of any month.

AEB is entitled to extraordinary termination of the user relationship without notice for cause – such as if the user provides false information during registration and/or in subsequent changes to the user data or uses the digital services illicitly.

AEB may delete the user’s content and account if the user does not log in to one of the digital services for a period of more than 12 months.

After termination of the user relationship, AEB shall delete all information and personal data of the user provided during registration, as long as such data is no longer required to process the user relationship or to assert and/or enforce rights.

Content that the user has posted remains online. AEB overwrites the name above such content with Permanently deleted user. AEB is also entitled to delete content that the user has posted.

9. Applicable law, severability

These terms are subject to the laws of the Federal Republic of Germany. Should one or more provisions of these Terms of Use be or become invalid, this shall not affect the validity of the remaining provisions.
